Supplementary Agreement

Seller (hereinafter referred to as Party A): ssssss

Buyer (hereinafter referred to as Party B): gggggg

Witness (hereinafter referred to as Party C): Beijing I Love My Family Real Estate Development Agency

According to stipulations of Contract Law of the People's Republic of China, Law of the Peoples Republic of China on the Administration of the Urban real Estate and other relevant laws and regulations, based on Beijing Stock Housing Transaction Contact (hereinafter referred to as Transaction Contact) signed by Party A and Party B with number of E09144160, and Brokerage Contract signed by Party A, Party B and Party C with number of J13094120, through the negotiation between both parties and witnessed by Party C, a supplementary agreement on the issue of Party A selling its private housing to Party B has been concluded:

Article I Party A agrees to sell the housing located at No. 1802, Unit 6, Floor 15, Building 3, Court 26, Jiuxianqiao Middle Road, Chaoyang District to Party B, its floor area is 115.76 square meters.

Article II By friendly negotiation, Party A, Party B and Party C agree that any commitment made by any party to another one party or two parties shall be presented in written as Supplementary Agreement, Certification or Letter of Commitment. No party has or accepts oral agreement or commitment. During the process of performance of the contract, provided that requirements raised by any party didn’t meet Transaction Contact, Brokerage Contract or Supplementary Agreement, the other two parties of the contract have the rights to refuse to cooperate with. If the party raising requirements refused to continue to perform the contract because the raised conditions didn’t be cooperated, it will be deemed as breach of contract. Should either party of Party A and Party B break the contract, the observant party has the rights to ask the breaching party to bear 20% of the contract amount as penalty for breach of contract; if Party C breaks the contract, Party A and Party B have rights to ask Party C to return all paid agency fee.

Article III By friendly negotiation, Party A and Party B agree the transaction price of the underlying housing to be RMB 4,900,000.00 Yuan (in words RMB: Four Million Nine Hundred Thousand Yuan Only), this underlying transaction price is unchangeable. Party B should pay RMB 200000.00 Yuan (Two Hundred Thousand Yuan Only) as earnest money to Party A on the day of signing contract. Party B should pay RMB 2,800,000.00 Yuan (in words RMB Two Million Eight Hundred Thousand Yuan Only) as down payment to Party A’s account (account number: 0200268201024654773*) before February 25, 2014. Party B’s loan commitment, the final payment of the loan RMB 1,900,000.00 Yuan (in words RMB: One Million Nine Hundred Thousand Yuan Only) shall be paid to the account of Party A by lending bank of Party B according to bank lending process after handling registration of property rights transfer. Both parties are willing to hand over the housing fund not by capital supervision, Party A should actively cooperate with Party B to handle loans within the rules after receiving the down payment of Party B. If Party B fails to pay the down payment within the agreed time or meeting the agreed conditions to Party A, Party B will be deemed as breach of contract, and Party B should bear the liability for breach of contract according to the breach clauses in Transaction Contract and Guarantee Contract.
